The Governance/Nomination Committee shall have the responsibility to analyze the board composition and determine what qualities, characteristics, and perspectives are present and identify where gaps exist and assist in the creation of an annual slate of candidates to fill board of director positions with special attention to filling gaps. As well as, ongoing board development, leadership development, board and board member assessment, board education, and for ensuring that the board is equipped with proper guidelines and structure to do its work. In addition, the committee shall review the bylaws, board policies and documents regularly and recommend timely amendments or replacements when necessary.
